B2B Sales Terms

These B2B Sales Terms apply to quotations, samples, custom projects, purchase orders, and sales of products by Zhengzhou LEHENG Electronic Technology Co., Ltd., unless a separate written contract states otherwise. If there is a conflict between these Sales Terms and a signed agreement, confirmed quotation, pro forma invoice, or sales contract, the specific written document will prevail.
Quotations
All quotations are subject to written confirmation. Unless stated otherwise, quotations may include product model, quantity, unit price, sample cost, tooling fee, packaging, lead time, payment terms, shipping terms, and validity period. Prices may change due to raw material costs, exchange rates, order quantity changes, customization requirements, logistics costs, or other commercial factors.
A quotation is not a binding obligation to supply unless accepted and confirmed in writing by us.
Orders
Customer purchase orders are subject to our written acceptance. We may reject or request changes to any order due to stock availability, technical feasibility, export compliance, payment risk, incomplete specifications, or other reasonable business reasons.
For custom products, the customer must confirm specifications, drawings, samples, testing standards, packaging requirements, labeling requirements, and applicable compliance requirements before production.
Samples
Samples may be provided for evaluation. Sample availability, sample fees, shipping costs, and lead times are subject to confirmation. Sample performance may differ from final mass-production performance if the customer changes installation conditions, cable length, connector, housing, matching circuit, ground plane, or other design factors.
Custom Products and Tooling
OEM/ODM projects may require tooling fees, engineering fees, sample fees, testing fees, minimum order quantities, and longer development cycles. Tooling ownership, exclusive use, maintenance, modification, and storage terms must be confirmed separately in writing.
Unless otherwise agreed, custom products made according to customer requirements cannot be cancelled or returned after production has started.
Payment
Payment terms are subject to the confirmed quotation, pro forma invoice, or sales contract. We may require advance payment, deposit, balance payment before shipment, or other agreed payment terms. Bank charges, currency conversion fees, and intermediary bank fees are the responsibility of the customer unless otherwise agreed.
If payment is delayed, we may suspend production, delay shipment, cancel the order, or require updated payment arrangements.
Lead Time
Lead times are estimates unless expressly confirmed as binding in writing. Lead time may be affected by material availability, production schedule, tooling, testing, customer confirmation delays, payment timing, logistics conditions, customs clearance, force majeure, or changes to specifications.
We are not responsible for delays caused by incomplete information, delayed approvals, payment delays, shipping providers, customs authorities, or events beyond our reasonable control.
Shipping, Risk, and Import
Shipping terms are subject to written confirmation and may be based on agreed Incoterms. Unless otherwise agreed, the customer is responsible for import duties, taxes, customs clearance, destination charges, local compliance, and any permits required in the destination country.
Risk of loss or damage transfers according to the agreed shipping terms. The customer should inspect goods promptly upon receipt and notify us of any visible damage, shortage, or discrepancy within the agreed inspection period.
Inspection and Acceptance
The customer is responsible for inspecting received products promptly. Any claim regarding quantity, model, visible defect, or shipping damage must be reported in writing with photos, videos, labels, packaging information, and relevant order details.
If the customer does not report issues within a reasonable inspection period, the products may be deemed accepted, except for hidden defects covered by an applicable warranty.
Product Warranty
Unless otherwise agreed in writing, we warrant that products will substantially conform to the confirmed specifications at the time of shipment. The warranty does not cover damage or failure caused by misuse, improper installation, unauthorized modification, incorrect matching circuit, unsuitable operating environment, excessive power, lightning, water ingress beyond rated protection, mechanical damage, improper storage, customer design error, or use outside the confirmed specifications.
Our warranty obligation is limited to repair, replacement, credit, or refund for defective products, at our reasonable discretion and subject to verification. We are not liable for indirect or consequential losses.
Returns and RMA
Products may not be returned without prior written authorization. The customer must request a return material authorization before sending any product back. Returned products must be properly packed and include order details, issue description, photos, and test evidence where applicable.
Custom products, used products, damaged products, modified products, or products ordered incorrectly by the customer are generally not returnable unless otherwise agreed in writing.
Product Changes
We may make product improvements, material substitutions, process updates, or design changes that do not materially reduce product performance or agreed specifications. For custom products or controlled projects, change control requirements should be agreed separately in writing.
Compliance and Certification
The customer is responsible for determining whether products require certification, approval, testing, labeling, registration, or regulatory compliance in the destination market or final application. Unless expressly agreed in writing, we do not guarantee that a product is certified for every country, network, device, application, or regulatory environment.
Limitation of Liability
To the maximum extent permitted by law, our total liability for any order shall not exceed the amount paid by the customer for the affected products. We are not liable for loss of profit, loss of business, production interruption, recall costs, certification failure, installation costs, field service costs, system downtime, or indirect, incidental, special, punitive, or consequential damages.
Force Majeure
We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, epidemic, war, sanctions, export restrictions, customs delays, labor disputes, power outages, transportation disruption, raw material shortage, supplier failure, cyber incidents, government action, or other force majeure events.
Governing Law
Unless otherwise agreed in writing, these B2B Sales Terms are governed by the laws of the People’s Republic of China.
